Welcome to SYSTEM REBOOT by Nuila Holdings, LLC dba Sachiko T. Nuila Coaching! It is our pleasure to provide the services described below for your personal Transformation Journey and impact in accordance with these Terms of Use (“Terms”).

If you complete your purchase of the SYSTEM REBOOT program, then a legally binding contract will be formed between you and Nuila Holdings, LLC dba Sachiko T. Nuila Coaching. The terms of that contract are as set forth here. 

1. DESCRIPTION OF SERVICE
Nuila Holdings, LLC dba Sachiko T. Nuila Coaching provides a coaching membership inclusive of several deliverables and benefits that take SYSTEM REBOOT clients on a breakthrough journey as you transform limiting beliefs and align your mindset, nervous system and actions to create the life vision that you have commited to!

SYSTEM REBOOT is not intended to replace professional psychiatric therapy or medical intervention in the lives of the members. By completing your purchase of the SYSTEM REBOOT program, you agree that anyone representing Nuila Holdings dba Sachiko T. Nuila Coaching and the SYSTEM REBOOT program are not offering any medical advice and that should you need medical or psychiatric care during your time as a SYSTEM REBOOT client, it is your responsibility to seek those services at your own discretion. 

Use of the Services (including access to the Content) is subject to compliance with these Terms which incorporate by reference our Privacy Policy and any end user license agreement that might accompany the applicable Service. Therefore, by accessing or using any of the Services, you accept and agree to these Terms.

2. CONTENT
To access the SYSTEM REBOOT content, you must have Internet access and provide us with one or more Payment Methods. “Payment Method” means a current, valid, accepted method of payment as outlined in your checkout process. 

Your SYSTEM REBOOT program will be paid as described in your checkout process and will continue until terminated by either party. 

3. LIVE SESSIONS
When attending live sessions with one of our coaches, we expect you to be on time, on Zoom as requested and fully prepared for your session.

We understand that sometimes you may need to rearrange your private sessions (if applicable), we ask for 48 hours’ notice for any changes to enable to the session to be used by another client. If you rearrange or cancel within 48 hours, you may be subject to cancellation fee and this will be calculated at our discretion.

4. BILLING AND CANCELLATION
Billing Cycle
The program fee for the SYSTEM REBOOT program or any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged on either as one payment up front or in installments to your Payment Method on the calendar day corresponding to the commencement of the paying portion of your program or as outlined in your checkout process. Program fees are fully earned upon payment. In some cases, your payment date may change, for example if your Payment Method has not successfully settled or if your installments began on a day not contained in a given month. Visit your portal to see your next payment date.

Payment Methods
To participate in the SYSTEM REBOOT program, you must provide one or more Payment Methods. You can update your Payment Methods by going into your Billing Portal. Following any update, you authorize us to continue to charge the applicable Payment Method(s). You authorize us to charge any Payment Method associated to your account in case your primary Payment Method is declined or no longer available to us for payment of your agreed-upon fees. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Check with your Payment Method service provider for details. Upon signing these Terms you agree to pay in full as you will receive the login for all of the proprietary tools. We reserve the right to suspend the membership services, terminate the contract between us, or have a collection agency involved if our charges are overdue for payment by you. 

Changes to Price
We reserve the right to adjust pricing for our Services or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in the Terms of Use, any price changes will take effect following notice to you.

Refunds
Payments are non-refundable and there are no refunds or credits for partially used periods.

At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all of our members (“credits”). The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion. The provision of credits in one instance does not entitle you to credits in the future for similar instances, nor does it obligate us to provide credits in the future, under any circumstance.

5. WARRANTY & LIABILITY
The satisfaction of our clients is Nuila Holdings, LLC dba Sachiko T. Nuila Coaching's highest priority and we are committed to providing the best tools and methods. The Services are provided with reasonable skill and care by coaches who are professional and experienced. The client is fully responsible for themselves and their actions within and outside of the Services provided. Nuila Holdings, LLC dba Sachiko T. Nuila Coaching and its coaches are released from any liability claims and clients remain responsible for their decisions and actions during and as a result of the Service.

6. OWNERSHIP
We shall keep all information about you in strict confidence and shall not pass your details to any third party. See our Privacy Policy for full information. You agree that Nuila Holdings, LLC dba Sachiko T. Nuila Coaching owns and retains all rights to the Services. You further agree that the Content you access and view as part of the Services is owned or controlled by Nuila Holdings, LLC dba Sachiko T. Nuila Coaching. The Services and the Content are protected by copyright, trademark, and other intellectual property laws.

Your Responsibilities
In order for us to keep the Services safe and available for everyone to use, we all have to follow the same rules of the road. You and other users must use the Services for lawful, non-commercial, and appropriate purposes only. Your commitment to this principle is critical. You agree that you will not use the Services and Content in a way that violates the rights of others, interferes with any other party’s use of the Services; or attempts to do anything that would be out of integrity with the terms and conditions of this agreement. 

If Nuila Holdings, LLC dba Sachiko T. Nuila Coaching determines in its sole discretion that you are violating any of these Terms, we may (i) notify you, and (ii) use technical measure to block or restrict your access or use of the Services. In either case, you agree to immediately stop accessing or using in any way (or attempting to access or use) the Services, you agree not to circumvent, avoid, or bypass such restriction, or otherwise restore or attempt to restore such access or use.

7. GENERAL
No waiver or any amendment to these terms shall be effective unless in writing and signed by both you and us. This contract shall be governed by and construed by the laws of the State of Arizona.
